1. Acceptance of Terms

By accessing, browsing, or using the OMNIX platform ("the Service"), operated by OMNIX Inc. ("the Company," "we," "us," or "our"), a limited liability company organized under the laws of the State of New York, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, Acceptable Use Policy, and any additional terms that may apply to specific features of the Service.

If you are accessing or using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to that entity. If you do not agree to these Terms, you must immediately cease all use of the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email notification to registered users or through a prominent notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Description of Service

OMNIX is an autonomous intelligence platform that provides the following capabilities:

• AI-Powered Conversation: Multi-model artificial intelligence chat interface integrating multiple large language models for research, analysis, and general-purpose conversation.
• Autonomous Intelligence: AI-driven analysis and research across multiple domains, utilizing multi-model fusion, sentiment analysis, and multi-signal algorithms.
• Real-Time Intelligence: Live data streaming, multi-source analysis, and AI-generated insights across research, finance, and current events.
• Research & Analysis: Web search, data analysis, document processing, image analysis, and multi-source intelligence synthesis capabilities.
• Self-Evolving Intelligence: Autonomous learning, strategy adaptation, and capability expansion through the proprietary OMNIX System architecture.
• Per-User Isolation: Individualized dashboards, chat histories, and AI preferences for each registered user.

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or secure operation of the Service at all times. Features may be added, modified, or removed at our sole discretion.

3. Eligibility & Account Registration

To use the Service, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. By creating an account, you represent and warrant that:

• All information you provide during registration is truthful, accurate, and complete.
• You will maintain the accuracy of your account information at all times.
• You are not located in, or a resident of, any jurisdiction where the use of the Service is prohibited by law.
• You are not on any government sanctions list or prohibited persons list.
• Your use of the Service will comply with all applicable local, state, national, and international laws and regulations.

You are solely responsible for maintaining the confidentiality of your account credentials, including any API keys, passwords, and authentication tokens. You agree to immediately notify us of any unauthorized use of your account. We shall not be liable for any loss or damage arising from your failure to protect your account credentials.

4. AI Services & Disclaimers

The AI features provided through OMNIX are for informational and convenience purposes only. By using the AI functionality, you expressly acknowledge and agree to the following:

OMNIX Inc. does not provide investment advice, financial advice, tax advice, or legal advice. Any analysis or recommendations generated by the AI are algorithmic outputs and should not be construed as professional advice.

The Company shall not be liable for any adverse outcomes resulting from the use of the Service, including but not limited to losses caused by system errors, network delays, or AI algorithm failures.

5. Third-Party Integrations

When you connect third-party services, you provide credentials at your own risk. You acknowledge and agree that:

• We encrypt credentials at rest using AES-256-GCM encryption and transmit them only over secure HTTPS connections.
• We are not responsible for any unauthorized access to your third-party accounts that results from compromised credentials, regardless of the cause.
• You are responsible for regularly rotating your credentials and monitoring your accounts for unauthorized activity.
• Each third-party service has its own terms of service, and your use of their APIs must comply with those terms.
• We may temporarily or permanently disable connections if we detect suspicious activity or potential security breaches.

You may disconnect your third-party accounts and request deletion of your credentials at any time through the Service dashboard or by contacting us at [email protected].

6. AI-Generated Content & Autonomous Actions

The Service utilizes multiple artificial intelligence models to generate content, analysis, and other outputs. You acknowledge that:

• AI-generated content may contain inaccuracies, errors, hallucinations, or outdated information.
• The AI operates autonomously and may generate content or take actions that you did not explicitly request.
• AI-generated analysis and recommendations are algorithmic outputs and should be independently verified before acting upon them.
• We do not guarantee the accuracy, completeness, timeliness, or reliability of any AI-generated content.
• The AI's self-evolution capabilities mean its behavior and outputs may change over time without prior notice.
• You should exercise independent judgment and not rely solely on AI-generated content for important decisions.

We retain the right to modify, update, or replace the AI models powering the Service at any time without prior notice. Such changes may affect the quality, style, or nature of AI-generated outputs.

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in any form of abuse, manipulation, or exploitation of the Service.
• Attempt to reverse-engineer, decompile, or extract the source code, algorithms, or models of the Service.
• Circumvent, disable, or interfere with security features or access controls of the Service.
• Use the Service to launder money, finance terrorism, or engage in any other illegal financial activity.
• Scrape, crawl, or harvest data from the Service without our express written consent.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload malicious code, viruses, or any other harmful technology.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Use the Service to generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Resell, sublicense, or commercially exploit the Service without our express written authorization.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without prior notice or refund. We reserve the right to report suspected illegal activity to appropriate law enforcement authorities.

8. Intellectual Property

The Service, including but not limited to its software, algorithms, AI models, user interface, design, graphics, text, data compilations, and all other content and materials (collectively, "Company IP"), is owned by OMNIX Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The following are registered or common law trademarks of OMNIX Inc.: "OMNIX," "OMNIX," "OMNIX System," "OMNIX Technology," "AION," "OMNIX MedVision," "OMNIX Shield," "OMNIX Sentinel," "OMNIX EduMind," "OMNIX AgriNet," "OMNIX GovOS," and the OMNIX logo. You may not use these marks without our prior written consent.

You retain ownership of any content you upload to the Service (such as files, images, and documents). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze such content solely for the purpose of providing the Service to you.

AI-generated content produced through the Service is provided to you for your personal or business use. However, the underlying AI models, algorithms, training data, and system architecture remain the exclusive property of OMNIX Inc. and its licensors.

9. Data Processing & Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy. We process data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and the New York SHIELD Act.

10. Service Availability & Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice when possible).
• Emergency maintenance required to address security vulnerabilities or critical bugs.
• Third-party service outages (exchange APIs, AI model providers, cloud infrastructure).
• Force majeure events including natural disasters, pandemics, wars, or government actions.
• Network congestion, DDoS attacks, or other cybersecurity incidents.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Fees & Payment

Certain features of the Service may require payment of fees. If applicable, fees will be clearly disclosed before you are required to pay. All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change our fee structure with thirty (30) days' advance notice to affected users.

You are responsible for all taxes associated with your use of the Service, including but not limited to income taxes, capital gains taxes, and any applicable sales or value-added taxes. We do not provide tax advice and recommend consulting a qualified tax professional.

12. Indemnification

You agree to indemnify, defend, and hold harmless OMNIX Inc., its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your activities conducted through the Service; (e) any content you upload or transmit through the Service; or (f) your violation of any applicable law or regulation.

13. Limitation of Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT, TRADING SIGNALS, MARKET DATA, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE.

15. Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in New York County, New York, by a single arbitrator with expertise in technology and financial services disputes.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against OMNIX Inc.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for the resolution of any disputes arising under these Terms.

17. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms or the Acceptable Use Policy.
• Suspected fraudulent, abusive, or illegal activity.
• Extended periods of inactivity (accounts inactive for more than 12 months).
• Requests from law enforcement or government agencies.
• Discontinuation or material modification of the Service.

Upon termination, your right to use the Service will immediately cease. You may request export of your data (chat history, trade records) within thirty (30) days of termination by contacting [email protected]. After thirty (30) days, your data may be permanently deleted.

18. Export Controls & Sanctions

The Service may be subject to United States export control laws and regulations. You agree not to export, re-export, or transfer the Service or any technical data received through the Service to any country, entity, or person prohibited by United States export control laws, including but not limited to countries subject to comprehensive sanctions by the Office of Foreign Assets Control (OFAC). You represent that you are not located in, under the control of, or a national or resident of any sanctioned country or on any prohibited persons list.

19. Severability & Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and OMNIX Inc. regarding the Service and supersede all prior agreements, representations, and understandings, whether written or oral.
